A major Abu Dhabi sovereign wealth fund seeks a Senior Legal Counsel to assist its legal and compliance functions. This role necessitates close collaboration with investment teams, drawing upon deep expertise in corporate transactions and coordinating external legal assistance.
[ Responsibilities ]
Advise on the legal aspects of structuring and executing transactions for strategic assets, while also supporting the legal needs of portfolio companies.
Provide comprehensive legal guidance to the General Counsel and Executive Management on the organization's commercial and corporate matters, operations, and investment activities.
Draft correspondence and filings to ministerial and regulatory bodies as required.
Support in drafting and issuing company shareholder resolutions and guarantees for portfolio companies.
Coordinate with key parties on the organization’s corporate structure, including creating special purpose vehicles for liability mitigation and tax efficiency.
Oversee investments, conduct due diligence, and negotiate terms.
Draft, negotiate, and review agreements, including confidentiality and term sheets.
Manage large transactions with external law firms

Oversee the legal aspects of executing transactions across diverse industries, including private equity, public equities, real estate, and infrastructure.
Review and negotiate fund documentation.
Develop transactional legal standards.
Advise on legal, regulatory, and reputational matters across transactions, including corporate governance.
Evaluate and provide high-quality legal advice on current operations.
[ Legal Support and Compliance ]
Coordinate the involvement of external legal counsel for selected transactions.
Build and maintain relationships with external legal counsel and preferred advisors.
Provide corporate secretarial support, including attending investment committee meetings and taking minutes.
Manage compliance reporting and training; monitor restricted investments to ensure adherence to company’s compliance policies.
[ Qualifications ]
Law degree with strong academic credentials.
Admitted as a lawyer in an internationally recognized Bar.
[ Experience and Skills ]
At least 10 years of experience at a major US/international or prominent UK law firm, or in an in-house legal role.
Extensive experience in corporate matters, mergers and acquisitions, and alternative investments.
Proven ability to manage major corporate transactions.
Familiarity with UAE financial regulations.
Proficient in legal drafting in English and Arabic
